An Offer for Sale (OFS) is a market mechanism that allows promoters or large shareholders of a listed company to sell their shares directly to investors through the stock exchange platform. In simple terms, it enables bulk share sales by promoters, the government, or institutional investors in a transparent, efficient, and time-bound manner.
Why companies use the OFS route
OFS is commonly used to:
Comply with SEBI’s Minimum Public Shareholding (MPS) norms
Reduce promoter or government stake in a company
Improve liquidity and increase public participation in the stock

Example: How an OFS Works
Let’s understand the OFS process with a simple example.
XYZ Ltd. is a listed company.
The promoter holds a 70% stake in the company.
As per SEBI regulations, promoter holding should not exceed 75%.
To meet compliance or increase public shareholding, the promoter decides to sell 5% stake via OFS.
An OFS is announced with a floor price of ₹200 per share.
On the OFS Day
Investors can place bids on the NSE/BSE at or above the floor price.
If an investor bids ₹205 and shares are available, allotment may happen at that price (or at the cut-off price, if applicable).
The sale proceeds go directly to the promoter (seller) and not to the company.
Outcome
The promoter’s stake reduces from 70% to 65%.
Investors get an opportunity to buy shares, often at a fixed or discounted price compared to the prevailing market price.
