Amalgamation of Allcargo Gati Limited

We wish to inform our investors that, as approved by the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, Allcargo Gati Limited will be merged with Allcargo Logistics Limited under a Composite Scheme of Amalgamation.

 

Key Details:

  • Record Date: 12th November 2025.

  • No Dealings in Allcargo Gati Limited Shares: Effective from 12th November 2025.

     

 Share Exchange Ratio:

Shareholders of Allcargo Gati Limited will receive 63 fully paid-up equity shares of ₹2 each in Allcargo Logistics Limited for every 10 fully paid-up equity shares of ₹2 each held in Allcargo Gati Limited.

 

What is an Amalgamation?

An amalgamation is a merger process where two or more companies combine to form a single, stronger entity. It helps in consolidating resources, streamlining operations, reducing duplication, and enhancing overall business efficiency and competitiveness.

 

 Purpose of this Amalgamation

This merger aims to unify operations of both companies under one umbrella, simplify the corporate structure, and create greater operational and financial synergies for long-term growth.

 

 Important Note:

Trading in the equity shares of Allcargo Gati Limited will be suspended from 12th November 2025 to facilitate the merger process and share allotment to eligible shareholders.

 

Conclusion:

This corporate restructuring marks a significant step in strengthening the Allcargo group’s logistics business. Eligible shareholders of Allcargo Gati Limited will automatically receive the allotted shares of Allcargo Logistics Limited in their demat accounts as per the exchange ratio, once the amalgamation process is completed.
