Takeovers

A takeover occurs when one company gains control over another, typically by purchasing a majority of its shares or through an open offer. Depending on the level of cooperation from the target company’s management, takeovers may be classified as friendly or hostile.

For shareholders, these offers often present an opportunity to sell their shares at a premium price, reflecting the acquiring company’s strategic interest. However, they also involve risks, especially if the acquirer’s future plans differ significantly from the target company’s existing direction or values.

Delisting

Delisting refers to the permanent removal of a company’s shares from trading on a stock exchange. It can occur either voluntarily, when initiated by the company, or compulsorily, due to regulatory or compliance issues.

In the case of a voluntary delisting, shareholders are usually offered an exit through a reverse book-building process, which helps determine a fair buyback price. While this offers investors an opportunity to realize gains and liquidity, it also eliminates the ability to trade those shares in the open market thereafter.

Key Takeaways

Both takeovers and delistings can significantly influence a stock’s liquidity, valuation, and investor sentiment. Although they may provide an attractive exit option, investors should carefully evaluate all public announcements, offer documents, and independent valuation reports before making any investment decision.
