About Company
- Kwality Wall's India Limited (KWIL) was incorporated on January 10, 2025 to handle HUL's ice cream business
- During the year 2025, the Company incorporated a wholly owned subsidiary under the name of 'Kwality Wall's (India) Limited' (KWIL) for the demerger of the Ice Cream business
- Pursuant to the Scheme of Arrangement effective December 1, 2025, the Ice Cream Business Undertaking of Hindustan Unilever Limited was demerged from Hindustan Unilever Limited into the Company as a going concern basis and in consideration, Company issued 2,349,591,262 Equity Shares having the face value of Re 1 each to the shareholders of Hindustan Unilever Limited in the ratio of 1:1, pursuant to the Scheme of Arrangement
- Shareholders of HUL have received 1 share of the Company for every 1 share of HUL in December, 2025
- Following its demerger from Hindustan Unilever (HUL), KWIL is now an independent, standalone company focused exclusively on the ice cream and frozen desserts business
